Job Summary

To provide an efficient and high standard Company Secretarial and Compliance service to the Nexus Group of Companies ensuring that the Board and Committee members receive  the support and advice necessary for them to discharge their duties. 

Principal Duties/Responsibilities

  • Board services – To ensure the effective servicing of Group company Boards, Committees and Executive Committee meetings.This would include summoning meetings, preparing agendas, collating all papers and distributing via MeetX, preparing Minutes and follow up matters arising;

    Member Services – to develop a close working relationship with the Chairs and Members for designated Boards;

    To develop and maintain good relations and contact with key executives and managers who provide reports to the Boards/Committees;

    To assist the Group Chief Legal and Risk Officer in all aspects of Group Risk and Compliance including:

    • monitor the activities of the Nexus Group and Operating Companies to ensure that they act within their constitutions and other regulatory requirements.
    • Ensure compliance with statutory requirements and governance best practice;
    • Compliance – to ensure the effective servicing of all regulated entities.
    • Risk – maintain oversight of controls and ensuring adherence

    Company Secretarial

    • Attend and prepare accurate and timely minutes of and actions arising from the meetings for boards/committees and follow up actions;
    • Produce the annual calendar and programme of board and committee meetings;
    • Maintain and update the Company Registers for each UK company;
    • Maintain and update the core corporate information including Terms of Reference for Boards and Committees;
    • Ensure compliance with Companies House filing requirements and overseas equivalents (liaise with the Registers in Hong Kong and USA);
    • Support the Group Company Secretary in monitoring and reviewing the effectiveness of the corporate governance framework and meeting Lloyd’s, FCA and overseas jurisdictions requirements in respect of corporate governance;
    • Work with Executive Officers  on all M&A work where applicable;
    • To manage the process for appointments and elections of Board and Committee members;
    • To assist in the Preparation of the Annual Reports and statutory returns;
    • Work closely with external lawyers;
    • Management of the shareholder Register and any queries;
    • Maintain the Group Structure Chart.



    • Assist with the development of compliance policy and procedures;
    • Management and attendance of all coverholder audits from a compliance perspective;
    • Maintain the FCA Register via Connect and Gabriel including filing of RMARs for all regulated entities;
    • Roll out and monitor twice annual compliance training to all staff;
    • Management of the TOBA process – including management of the sanctions systems, credit checking system etc;
    • Management of the Compliance Inbox including all queries;
    • Work closely with external compliance consultants on all complex compliance issues;
    • Review compliance monitoring plan;
    • Preparation of the quarterly compliance report to the Group Board and other regulated subsidiaries;
    • Monitor the Risk Register and report any changes in rag status to the Group Board; 
    • Maintain a list of company Non-Disclosure Agreements


    • Review and set up any training needs for Directors as and when required.

Required Qualifications, Skills, Knowledge, Experience


  • ICSA qualified (or equivalent) (essential)


  • Experience of Minute taking (essential)
  • At least 3 years of Company Secretarial relevant experience ideally in a publically listed organisation
  • Legal entity management
  • Excel and Word (essential)
  • Ability to prioritise workload and work with minimum supervision and input
  • Excellent communication skills at all levels and confidence to be able to respond clearly to queries and questions
  • This role would suit someone who enjoys working in a fast pace, varied working environment and who is keen to develop new practices and processes.
  • Strong attention to detail
  • Ability to deal confidently and succinctly with people at all levels
  • Self-motivated and enthusiastic


  • Relevant Financial Services experience (Preferable)
  • Compliance experience (Preferable)
  • Experience of a Board pack application ( Desirable)
